Lufthansa Prepares to Raise Stake in ITA Airways to 90%

Lufthansa, the German airline giant, is planning a significant strategic move to increase its stake in ITA Airways. According to a report by the Italian newspaper Corriere della Sera, Lufthansa is in talks with the Italian Ministry of Economy to raise its current 41% share in the Italian carrier to a controlling 90% by June 2026. This acquisition is seen as a key step for Lufthansa to further expand its influence and strengthen its position within the European aviation sector.

As part of this expansion plan, Lufthansa is expected to make an additional investment of 325 million euros. The deal also includes a potential performance-based payment of 100 million euros, which could bring the total value of the agreement to 425 million euros. The final decision on the share increase is anticipated to be made in April or May 2026. This move highlights Lufthansa’s commitment to the Italian market and its confidence in ITA Airways’ future potential.

Lufthansa CEO Carsten Spohr has underlined the importance of this share increase for the successful restructuring and profitability of ITA Airways. The agreement is contingent on obtaining approval from European Union competition regulators. This regulatory oversight is a standard part of such large-scale mergers and acquisitions, ensuring that the deal does not create an unfair competitive advantage in the market.
